Effective October 13, 2026
Last updated October 13, 2026
These Terms are an agreement between Ethos Agency LLC, a Utah limited liability company doing business as Turn One ("Turn One," "we," or "us"), and the business that accepts them ("you" or "Customer"). Turn One was formerly known as Rollwise. The Service is our hosted flooring-business software, including its related support and websites. The Service is offered only to businesses based in the United States.
Contact: contact@getturnone.com. Business mailing address: Ethos Agency LLC d/b/a Turn One, 1367 East Miller Ave, A701, Millcreek, UT 84106.
Please read section 4 (billing and no refunds), section 8 (data use), and sections 13–16 (warranties, liability, claims, and disputes).
1. Agreement and electronic records
You accept these Terms through an express acceptance control that links to the applicable version. A person who accepts for a business must be at least 18 and have authority to bind that business. Viewing this website does not create a subscription or accept these Terms.
You agree to electronic signatures and electronic contract, billing, and service notices. Keep a working administrator email address and the ability to save or print records. We keep acceptance records that identify the document version, accepting person, date, time, IP address, and browser. You may request a copy from us.
These Terms include the data processing terms in section 8 and the acceptable use rules in section 6. The Privacy Policy explains our handling of personal information. A separate agreement signed by both parties controls an express conflict. A signed data processing addendum controls a conflict about personal data. A specific price or discount shown in your approved billing arrangement controls that commercial item. Your purchase order does not add other terms.
2. Accounts and access
We give your authorized users a limited, nonexclusive right to use the Service for your business during your subscription and the access periods stated below. You do not receive ownership of the software.
Each user must have a separate login. Do not share logins. Each user may have two concurrent sessions. A third sign-in ends the oldest session. You manage your users, their roles, and their access to company and branch records. Remove access when a person leaves your business. Keep account information current and report suspected unauthorized access promptly.
You are responsible for your users' compliance with these Terms and for actions that you authorize. This responsibility does not excuse our own failure to meet these Terms. If no administrator remains, a verified owner or officer may ask us to restore administrative access.
3. Free setup and the start of billing
New paid-plan accounts receive a 90-day free setup period with one office seat. A verified payment method is required, but setup alone does not create a paid subscription. You can import history, set up records, and prepare quotes and drafts. We may approve a written extension. A repeat signup does not restart the setup period.
The following new production activity starts the billing confirmation process:
- You issue the first customer invoice.
- You record the first customer payment or deposit.
- You create the tenth Job beyond quote or draft status that has a work order or schedule entry.
- You activate a second office seat.
Historical imports, drafts, and previews do not start billing. Free installer seats do not start billing. Your authorized administrator controls installer access through company settings.
Before a triggering action proceeds, the Service shows the applicable seat count, price, discounts, and monthly total for confirmation. Turn One then confirms billing start before Stripe creates the subscription. A pending confirmation is not a completed charge. You may also ask to start billing early through this process.
If setup expires without a paid subscription, the account becomes read-only. Expiry alone does not authorize a charge. Existing setup accounts keep the setup window and trigger rules accepted when they joined.
A written complimentary arrangement can remove charges and paid setup limits. A review date on that arrangement does not start billing. Moving a complimentary account to paid service requires a new billing notice and confirmation.
4. Prices, renewal, payment, and no refunds
The standard price is $100 per office seat per month, two-seat minimum ($200/month minimum), in US dollars, before tax. Paid service has a two-office-seat minimum, or $200 per month before discounts and tax. Installer seats are free within their assigned installer permissions. An installer who also has office access is an office user for billing.
An active office user who has signed in counts once, regardless of roles or branches. Inactive users and invitations that have not been used do not count. The company-wide seat charge is capped at 25 office seats for each open operating location, with at least one location used for the cap. At the standard rate, this is $2,500 per open location per month. The two-seat minimum still applies. Taxes are outside this cap.
Subscriptions renew monthly until canceled. You authorize recurring charges through Stripe using your selected payment method for the amounts disclosed to you. Payment cards and verified US bank accounts are supported. Bank verification and any required debit authorization must be completed before bank payment. Annual prepayment is not a public launch offer. Any later annual arrangement requires separate written terms.
Adding office seats results in a prorated charge for the remaining billing period, subject to the cap. Removing seats results in a credit for the remaining period toward a future invoice, subject to the minimum. Credits are not cash and are not paid out when you cancel. Your billing arrangement shows any discount and its duration. Changes to an ongoing discount or price apply prospectively, after at least 60 days' email notice. You may cancel before a higher price takes effect.
You must pay applicable sales, use, and similar transaction taxes, excluding taxes on our income. We collect taxes where required. Give us valid exemption documents if you claim an exemption. This agreement does not decide which state taxes apply to your purchase or your own business.
We offer no money-back guarantee and no money-back refunds, including for a partial month, unused seats, or cancellation. We may issue a credit toward a future invoice to correct a billing problem. This rule does not limit a payment reversal, refund, or other remedy that applicable law requires. Contact us promptly about a billing error. You retain any nonwaivable dispute rights.
If payment fails, we notify you and normally allow 14 calendar days to resolve it before the account becomes read-only. Your notice states the deadline. A bank payment that is still processing is not a failed payment. Access resumes when required overdue amounts clear, unless another valid hold applies. Cancellation does not remove fees already owed.
5. Cancellation, suspension, and service closure
You may cancel renewal at any time through Account & Billing. Cancellation takes effect at the end of the current paid period. The confirmation states that date. If you cannot reach the control, contact us for help.
We may limit access as needed to address a security threat, unlawful use, a legal requirement, or a material breach of these Terms. We will give notice and a reasonable chance to fix the problem when safe and lawful. For a breach that can be fixed and does not require immediate action, we allow 30 days after written notice before termination. Nonpayment follows section 4.
We may end service for convenience, or close the Service, with at least 90 days' written notice. We will stop renewal charges for periods after service ends. The no-refund rule in section 4 still applies, except where law requires otherwise. We will keep export available during the notice period. After closure, we will provide a secure way to request exports for the remainder of the 12-month period in section 9.
After ordinary cancellation, you may reactivate within the 12-month window at your current seat count and the then-applicable price. The two-seat minimum applies. There is no new setup period. Payment must clear and any other hold must be resolved before full access returns.
6. Acceptable use and business responsibilities
Do not use the Service to break the law, infringe another person's rights, send unlawful messages, distribute malware, bypass access controls, access another customer's data, or disrupt the Service. Do not resell access or reverse engineer the software except where applicable law permits it. Do not use another identity or account to evade billing or access limits.
You must have the rights and notices needed to upload and use information about customers, residents, employees, installers, vendors, and other people. Use designated fields for necessary tax or financial information. Do not put payment-card security codes, online banking passwords, or unrelated sensitive personal information in notes, uploads, or support messages. The Service is not offered for regulated health records or payment-card credential storage.
You remain responsible for your business decisions, source records, approvals, physical inventory, installation work, workplace safety, accounting judgments, filings, and compliance with laws that apply to your business. Review reports and outputs before you use them. The Service does not provide legal, tax, accounting, or investment advice. These duties do not remove our duties to provide and protect the Service under this agreement.
7. Ownership and confidentiality
You retain ownership of Customer Data. Customer Data includes the records, files, messages, and other content you or your users put into the Service, and your business records produced from them. We do not take ownership of that data because we host it.
You give us permission to host, copy, transmit, process, and display Customer Data to provide, maintain, secure, and support the Service, follow your lawful instructions, and perform section 8. This permission continues only as needed for those purposes and the retention rules in section 9. It does not transfer your ownership.
We retain rights in the software, design, documentation, and brand. You permit us to use voluntary product feedback without payment. Feedback does not give us rights to disclose your confidential records or use your name or logo in marketing.
Each party must protect the other's confidential information with reasonable care and limit access to people who need it for this agreement. Customer Data is confidential. These duties do not cover information that is public without a breach, already lawfully known, independently developed, or lawfully received without a duty of confidence. A legally required disclosure must be limited to what is required. Give advance notice when the law permits it.
These duties continue while the information remains confidential. Retained Customer Data remains protected under sections 8 and 9. We will not use your name or logo in marketing without your written permission.
8. Personal data, service providers, and aggregate data
For personal information in Customer Data, you determine the business purposes and we process it on your behalf. Your instructions are this agreement and your authorized use of the Service. Processing includes storage, retrieval, organization, transmission, support, export, and deletion as permitted by law. It covers the people and record types described in the Privacy Policy for the period in section 9.
We will use that personal information to provide the agreed services, maintain security, follow lawful instructions, and meet legal duties. We will bind personnel with access to confidentiality duties. We will use reasonable technical and organizational safeguards. We will assist with lawful rights requests and incidents that involve your data. We will notify you without undue delay after confirming a security incident involving your Customer Data, and as applicable law requires. An unsuccessful attack alone is not such an incident.
You authorize the service providers listed in Privacy Policy section 5. We will require written data protection terms for providers that process Customer Data on our behalf. We remain responsible for their performance of our processing duties under this agreement. Some providers, such as a payment provider performing fraud or legal checks, also act for their own purposes under their own terms.
We will give at least 30 days' notice before adding or replacing a provider that processes Customer Data. You may object during that period on reasonable data protection grounds. We will work with you to address the concern. If we cannot resolve it, you may end the affected service and export your data. Section 4 governs credits and refunds. A separate data processing addendum may be needed for additional legal requirements. These Terms do not waive those requirements.
We may create, use, share, license, and sell data that is both aggregated and de-identified. It must not identify, or reasonably permit identification of, a person, household, or customer business. We will use reasonable safeguards against re-identification. We publicly commit to keep this data de-identified and not try to re-identify it. We will require recipients by contract to do the same. Removing names alone is not sufficient.
We may use this data for industry statistics, benchmarks, research, product development, and automated analysis or model development. This permission does not authorize the sale of identifiable Customer Data. Any processing of personal information remains subject to the agreed purposes and applicable law. Qualifying aggregate data may remain after account closure because it no longer identifies you or an individual.
9. Data freedom, export, and retention
You may export your Customer Data while the account is active and during the 12 months after cancellation takes effect. During this period, you keep permission-based read, print, and export access. An unpaid balance does not remove export rights. We may use a secure alternative to normal sign-in when necessary for security or law.
The full export includes company tables in CSV format, stored documents and files, standard accounting and business extracts, and a data dictionary. Security credentials and other customers' information are excluded. Redactions are identified. We do not charge an exit fee for the standard export. Download links expire for security. Save your own copy promptly. A legal hold does not by itself prevent export.
After the 12-month access window, contact us to request an export or discuss reopening. We do not promise continued self-service access after that window. We do not automatically delete Customer Data when the setup period or subscription ends, or when the access window expires.
A verified company owner or authorized administrator may send a written deletion request to contact@getturnone.com. We review the request, authority, legal holds, and required retention. We explain what can be deleted, what must be kept, and the expected schedule. A request or approval is not confirmation that deletion has occurred. Applicable legal response and deletion duties still apply. We confirm completed deletion in writing. Export before requesting deletion.
Protected backup copies may remain until the applicable backup cycle ends. Retained data remains subject to confidentiality and security duties. We may retain billing, tax, contract, security, and dispute records for lawful purposes. These Terms do not promise a fixed deletion or backup-erasure deadline.
10. Service operation and support
We will use reasonable care and skill to provide and maintain the Service. Maintenance, changes, and outages may occur. There is no guaranteed uptime percentage, recovery time, support schedule, or service credit unless a separate signed agreement provides one. Contact contact@getturnone.com for support.
We may improve or change features. We will give reasonable advance notice of a change that materially reduces core paid functionality, unless urgent security or legal action prevents notice. Section 5 applies if we close the Service. Maintain your own business continuity plan and saved exports.
11. Third-party services
Services you choose to connect may have separate terms and privacy policies. You authorize the data exchange needed for your chosen connection. We do not control independent providers. This does not remove our responsibility for providers we engage under section 8.
Stripe processes your subscription payment. Any service that lets you collect payments from your own customers requires separate payment-provider terms and authorization. These Terms do not make Turn One a bank or promise that customer-payment processing is available.
12. Notices and changes to these Terms
Send notices to contact@getturnone.com. You may also send them to the business mailing address above. We send notices to your administrator email address or show them in the Service. Keep those details current. Formal legal notices are effective when received. This does not replace legal rules for service of court papers.
We will send marketing emails at launch to US business contacts on an opt-out basis under CAN-SPAM. This basis does not require prior express consent under that law. It is not a claim that you gave express consent. We obtain consent before sending where another applicable law requires it. Every marketing email will include an unsubscribe link and our physical mailing address: 1367 East Miller Ave, A701, Millcreek, UT 84106. We will honor unsubscribe requests within 10 business days. You may also ask us to stop marketing emails at contact@getturnone.com.
We keep marketing emails separate from service and transactional notices. Unsubscribing from marketing does not stop necessary account, billing, security, or legal notices. Receiving marketing is not a condition of using the Service.
We will give at least 30 days' notice of a material change to these Terms or the Privacy Policy. Price changes follow section 4. A company owner must accept a materially changed document through the applicable acceptance control. Acceptance is tracked separately for each document. Changing one document does not require acceptance of an unchanged document. Minor corrections do not require new acceptance.
If you do not accept a required change, you may cancel and export. We preserve export access during the applicable window. We will not apply a new permission for materially different use of previously collected personal information without any notice or consent required by law.
13. Warranties and limits of the Service
Except for the express promises in these Terms, the Service is provided "as is" and "as available," to the fullest extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement to that extent. We do not promise error-free operation, a particular business result, or that every output meets every legal or accounting requirement.
If we materially fail to meet an express promise, notify us so we can try to correct the failure. Your termination and other rights under these Terms remain available. Section 4 governs refunds, subject to remedies that law requires. Nothing here excludes a warranty or duty that cannot lawfully be excluded.
14. Limits on liability
To the extent permitted by law, neither party is liable under this agreement for indirect, special, incidental, consequential, exemplary, or punitive damages, or lost profits or revenue. This applies even if the party was told such loss could occur.
Each party's total liability arising from this agreement is limited to the greater of $1,000 or the fees paid or payable for the Service during the 12 months before the first event giving rise to the claim. Related claims share that limit.
The exclusion and cap do not limit fraud, willful misconduct, gross negligence, liability that law does not permit the parties to limit, or your duty to pay properly due fees. The cap otherwise applies to confidentiality, security, data loss, and the defense duties in section 15. These limits allocate risk between the parties and are part of the proposed price.
15. Third-party claims
You will defend us against a third-party claim that your Customer Data or your unlawful use of the Service violates that party's rights. You will pay amounts awarded by a final judgment or approved settlement, subject to section 14. This duty does not apply to the extent the claim results from our breach or misconduct.
We will defend you against a third-party claim that the Service, as supplied by us and used as permitted, infringes a US patent, copyright, or trademark. We will pay amounts awarded by a final judgment or approved settlement, subject to section 14. This duty excludes claims caused by unauthorized modifications, combinations not supplied by us, or Customer Data. We may obtain use rights, modify the affected feature, or end that feature if neither option is reasonably available. Export rights remain. Section 4 applies to fees.
The party seeking protection must give prompt notice, reasonable help at the defending party's expense, and control of the defense to that party. Delay in notice excuses a duty only to the extent it causes harm. A settlement cannot admit fault, require payment, or impose another duty on the other party without its written consent.
16. Utah law and courts
Utah law governs these Terms, excluding conflict-of-law rules. Applicable federal law also applies. Courts of the State of Utah located in Salt Lake County, and the US District Court for the District of Utah, have exclusive jurisdiction over disputes arising from these Terms. Each party consents to those courts, subject to rights that applicable law does not permit it to waive.
Before filing a claim, give written notice of the dispute and allow 30 days for a good-faith effort to resolve it. This does not prevent an urgent court order or a filing needed to preserve a legal deadline. These Terms do not require arbitration or waive a jury trial or class action rights.
17. Other terms
Neither party is liable for a delay caused by events beyond its reasonable control if it takes reasonable steps to reduce the effects. This does not excuse fees already due or duties that law requires. A party may end affected service after such a disruption continues for more than 30 days. Sections 4 and 9 still apply.
Either party may transfer this agreement to a successor to substantially all of its relevant business if the successor assumes its duties. Other transfers require the other party's written consent. Give notice of a permitted transfer. A transfer does not remove data protection duties.
The parties are independent contractors. There are no intended third-party beneficiaries. A delay in enforcement is not a waiver. If a provision is unenforceable, the remaining provisions continue to apply. This agreement and the documents identified in section 1 are the entire agreement about the Service. Payment obligations, ownership, confidentiality, lawful retention, data-use limits, liability limits, and dispute terms survive as needed after termination.
